These Terms of Service (the "Terms") govern access to and use of Site Punch, the construction punch-list software service at https://getsitepunch.com and any related websites, applications, links, and services (together, the "Service"). The Service is operated by Shreeji Hotel Group, LLC, a North Carolina limited liability company ("Site Punch," "we," "us," or "our").
1.1 Business use only. The Service is offered only to businesses and other organizations, not to consumers. A "Customer" is the company or other organization that signs up for the Service. If you accept these Terms on behalf of a Customer, you confirm that you have authority to bind that Customer, and "you" and "your" refer to the Customer.
1.2 How you accept. You accept these Terms by creating an account, clicking to accept, starting a subscription, or using the Service. If you do not agree, do not use the Service.
1.3 Order forms. If the Customer and Site Punch sign a separate order form or written agreement for the Service, that document controls over these Terms where the two conflict.
1.4 Privacy Policy. Our Privacy Policy explains how we handle personal information and is part of these Terms.
3.1 Account registration. To create an account, you must provide accurate and complete information and keep it current. Account Users must be at least 18 years old. No one under 16 may use the Service, including through a Trade Link.
3.2 Roles and permissions. The Service may offer different roles (for example, owner, administrator, and member), each with different permissions. The Customer decides who receives access and which role each User has. The Customer is responsible for managing roles and for removing access promptly when a person should no longer have it.
3.3 Credentials. Account Users must keep their login credentials confidential and must not share accounts. The Customer must notify us promptly at support@getsitepunch.com if it learns of any unauthorized access to its account.
3.4 Responsibility for Users. The Customer is responsible for all activity under its account, including the actions of all its Users and anyone who uses a Trade Link the Customer or its Users created, and for making sure its Users follow these Terms.
4.1 How Trade Links work. The Service lets Account Users generate Trade Links so that subcontractors, trades, and other project participants can view and update assigned items. Trade Users do not create an account or password; they may be asked to enter only a first name, which is shown alongside their updates.
4.2 Customer controls sharing. Anyone who has a Trade Link can use it. The Customer is solely responsible for (a) deciding who receives each Trade Link, (b) sharing Trade Links only with intended recipients through appropriate channels, (c) not posting Trade Links publicly, and (d) disabling or regenerating a Trade Link (where the Service allows it) if it may have been shared with the wrong person.
4.3 Limited identity verification. Because Trade Users do not log in, we do not verify their identity, and the name a Trade User enters may not be accurate. Activity attributed to a Trade User should be treated accordingly. We are not responsible for any access, changes, or disclosure that results from a Trade Link being forwarded, shared, or exposed by anyone other than us.
4.4 Trade User terms. By using a Trade Link, a Trade User agrees to use it only for the project work it relates to and to follow Section 5 (Acceptable Use).
You and your Users must not:
(a) use the Service in violation of any law or regulation, or in violation of anyone else's rights (including privacy and intellectual property rights); (b) upload content that is unlawful, defamatory, harassing, obscene, or that you do not have the right to upload; (c) upload malware, or try to interfere with, disrupt, or overload the Service; (d) try to gain unauthorized access to the Service, other accounts, or our systems, or bypass any security or usage limits; (e) probe, scan, or test the Service for vulnerabilities without our prior written permission; (f) reverse engineer, decompile, or try to obtain the source code of the Service, except where applicable law forbids this restriction; (g) copy, resell, sublicense, or offer the Service to third parties as a service bureau, or use it to build a competing product; (h) scrape or use automated means to access the Service other than through features or interfaces we provide; or (i) upload sensitive personal information that the Service is not designed for, such as Social Security numbers, financial account numbers, or health information.
We may remove content or suspend access that we reasonably believe violates this Section, as described in Section 12.
6.1 You own your data. As between you and us, the Customer owns all Customer Data, including all photos, issues, and comments. We do not claim ownership of Customer Data.
6.2 License to host and operate. The Customer grants us a worldwide, non-exclusive, royalty-free license to host, copy, store, transmit, process, display, and back up Customer Data only as needed to (a) provide, secure, maintain, and support the Service, (b) prevent or address technical, security, or abuse issues, and (c) comply with law. This license ends when the Customer Data is deleted under Section 9, except for copies in backups that are deleted on their normal schedule.
6.3 Your responsibilities. The Customer is responsible for the accuracy, quality, and legality of Customer Data and for having all rights, notices, and consents needed for us to process it under these Terms, including for any people who appear in photos or are named in comments.
6.4 Usage data. We may collect and use technical and usage information about how the Service is used (for example, performance logs and feature usage) to operate, secure, and improve the Service. We will only disclose this information outside our company in aggregated or de-identified form that does not identify the Customer or any individual.
6.5 Automated systems and AI. The Service is operated, monitored, and maintained in part by automated systems, including artificial intelligence ("AI") tools. These systems may process Customer Data and Feedback (including screenshots) only to provide, troubleshoot, secure, and improve the Service, subject to Section 7 (Confidentiality) and our Privacy Policy. We will not use Customer Data to train general-purpose AI models made available to third parties. Any third-party AI provider that receives Customer Data is listed as a subprocessor in our Privacy Policy and is bound by confidentiality obligations.
7.1 What is confidential. "Confidential Information" means non-public information that one party (the "Discloser") shares with the other (the "Recipient") that is marked confidential or that a reasonable person would understand to be confidential. Customer Data is the Customer's Confidential Information. The non-public parts of the Service are our Confidential Information.
7.2 Exceptions. Confidential Information does not include information that (a) is or becomes public through no fault of the Recipient, (b) the Recipient already knew without a confidentiality duty, (c) the Recipient receives from a third party who is free to share it, or (d) the Recipient develops independently.
7.3 Obligations. The Recipient will (a) use the Discloser's Confidential Information only to perform under or exercise its rights under these Terms, (b) share it only with its employees, contractors, and service providers who need to know it and are bound by confidentiality duties at least as protective as these, and (c) protect it with at least reasonable care.
7.4 Required disclosure. The Recipient may disclose Confidential Information if required by law or court order, but, where legally allowed, it will give the Discloser reasonable advance notice and cooperate with any effort to limit the disclosure.
8.1 Our safeguards. We use reasonable administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, loss, or alteration. These include encryption in transit, access controls, and daily backups. The Service is hosted by Fly.io in data centers located in the United States (currently the Ashburn, Virginia region).
8.2 Deletion model. When Users delete items in the Service, the items may first be "soft deleted" (hidden from view but recoverable for a period) before permanent removal, and copies may remain in backups until they rotate out on their normal schedule. See Privacy Policy Section 7 for retention periods.
8.3 Security incidents. If we confirm unauthorized access to Customer Data in our systems, we will notify the Customer without undue delay and as required by law, and we will take reasonable steps to contain and fix the problem.
8.4 Your part. The Customer is responsible for securing its own devices, accounts, credentials, and Trade Links and for configuring User access appropriately.
8.5 No guarantee. No system is perfectly secure. We cannot guarantee that unauthorized access will never occur.
9.1 Export during the subscription. The Customer may export Customer Data at any time using the export features the Service provides (for example, PDF reports or data downloads). Export formats currently include PDF reports (by location, combined, and by trade) and a full JSON data export.
9.2 Export window after termination. For 30 days after termination or expiration of the Customer's account, we will, on request, make the Customer's Customer Data available for export. During that window, access may be read-only.
9.3 Deletion. After the export window ends, we will delete Customer Data from our active systems within a reasonable time. Backup copies will be deleted as backups rotate out on their normal schedule (currently up to 5 days). Until then, these Terms continue to protect any retained Customer Data. We may keep Customer Data longer if the law requires it, or to resolve a dispute or enforce these Terms.
10.1 Free trial. The free plan is a limited free trial. It includes one (1) Active Project, up to 25 issues, up to 2 photos per issue, one (1) view-only Trade Link (Trade Users can view items but cannot comment or mark items GC Complete), single-location PDF exports that carry a "Made with Site Punch — Free plan" watermark, and one (1) Account User. Combined multi-location packets, trade-based packets, punch-list import, additional Users, Trade User comments, and GC Complete are available only on the paid plan. If an account has more data than the free trial allows (for example, after a downgrade), existing data stays available, but new additions above the limits are blocked until the Customer upgrades. We may change or discontinue the free trial, or its limits, with reasonable notice.
10.2 Paid plan. The paid plan is $89 (USD) per month for each Active Project, unless a different price is stated in an order form or at checkout. Once a Customer upgrades to the paid plan, all of its Active Projects are billed, including the first. The number of Active Projects is counted as described in the Service, and the billed quantity is updated as Active Projects are added or archived, with prorated charges or credits applied by our payment processor.
10.3 Billing and auto-renewal. Paid subscriptions are billed monthly in advance through our payment processor, Stripe. Subscriptions renew automatically each month and the payment method on file will be charged for each renewal until the Customer cancels. By starting a paid subscription, the Customer authorizes these recurring charges.
10.4 Cancellation. The Customer may cancel at any time through the account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and the Customer keeps access to paid features until then.
10.5 No refunds. Except where required by law or as stated in these Terms, fees are non-refundable, and we do not give refunds or credits for partial months, unused Active Projects, or downgrades.
10.6 Price changes. We may change prices with at least 30 days' notice. The new price applies starting with the next billing period after the notice period. If the Customer does not agree, it may cancel before the change takes effect.
10.7 Taxes. Fees do not include taxes. The Customer is responsible for all sales, use, value-added, and similar taxes related to its purchases, other than taxes on our net income. Where we are required to collect taxes, we will add them to the invoice.
10.8 Payment information. We do not store full payment card numbers; Stripe processes payment information under its own terms and privacy policy.
11.1 Failed payments. If a payment fails, we (or Stripe) may retry the charge and will notify the Customer.
11.2 Suspension. If any fees remain unpaid for 10 days after we notify the Customer, we may suspend access to paid features or limit the account to the free plan until payment is received. Suspension for nonpayment does not delete Customer Data; Section 9 applies if the account is later terminated.
11.3 Disputes. If the Customer disputes a charge in good faith and tells us within 30 days of the charge, we will work with the Customer to resolve it and will not suspend for the disputed amount while we do so.
12.1 Suspension for risk or misuse. We may suspend all or part of the Service immediately if we reasonably believe (a) a User is violating Section 5, (b) suspension is needed to prevent harm to the Service, other customers, or third parties, or (c) the law requires it. We will try to give notice in advance when practical and will limit the suspension to what is reasonably necessary.
12.2 Term. These Terms apply from the time you first accept them until the Customer's account is terminated.
12.3 Termination by the Customer. The Customer may stop using the Service and close its account at any time. Paid subscriptions end as described in Section 10.4.
12.4 Termination by us. We may terminate the Customer's account (a) for material breach that is not cured within 30 days after notice (or 10 days for nonpayment), (b) immediately for serious or repeated violations of Section 5, or (c) for any reason with at least 30 days' notice, in which case we will refund any prepaid fees for the unused part of the billing period.
12.5 Effect of termination. When the account ends, the right to use the Service ends, and Section 9 governs Customer Data. Sections that by their nature should continue (including Sections 6.3, 7, 9, 10 for unpaid fees, 13 through 19) will survive.
If you or your Users give us Feedback, we may use it freely without any obligation to you. If a feedback report includes screenshots, they may contain Customer Data; we will treat that Customer Data as Confidential Information and use it only to understand and resolve the reported issue and improve the Service.
We and our licensors own the Service, including its software, design, and trademarks. Subject to these Terms, we grant the Customer a limited, non-exclusive, non-transferable right during the subscription for its Users to access and use the Service for the Customer's internal business purposes. All rights not expressly granted are reserved.
15.1 Not a substitute for inspections or professional judgment. The Service is a tool for organizing and tracking punch-list items and related project information. It is not a substitute for building-code, safety, or regulatory inspections, for the judgment of licensed design or construction professionals, or for compliance with contract, permit, or legal requirements. The Customer remains solely responsible for the quality, safety, and code compliance of its work and projects, for verifying that items are actually complete, and for all decisions made using the Service.
15.2 "As is." EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DATA WILL NEVER BE LOST, OR THAT ANY OUTPUT OF AUTOMATED OR AI SYSTEMS WILL BE ACCURATE.
15.3 Third-party services. The Service relies on third-party services (such as hosting, payment, and email providers). We are not responsible for third-party services outside our reasonable control.
16.1 Cap. TO THE FULLEST EXTENT ALLOWED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES THE CUSTOMER PAID TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR $100, WHICHEVER IS GREATER.
16.2 Excluded damages. TO THE FULLEST EXTENT ALLOWED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, OR PROJECT DELAYS OR COSTS OF REWORK, EVEN IF ADVISED OF THEIR POSSIBILITY.
16.3 Exceptions. The limits in this Section do not apply to (a) the Customer's obligation to pay fees, (b) a party's indemnity obligations under Section 17, (c) the Customer's breach of Section 5, or (d) liability that cannot be limited by law, such as for fraud, gross negligence, or willful misconduct.
17.1 By the Customer. The Customer will defend Site Punch and its members, managers, employees, and agents against any third-party claim arising from (a) Customer Data, (b) the Customer's or its Users' use of the Service in breach of these Terms or the law, (c) the sharing or misuse of Trade Links issued under the Customer's account, or (d) the Customer's projects, work, or construction activities, and will pay any resulting damages, settlements, and reasonable attorneys' fees.
17.2 By us. We will defend the Customer against any third-party claim that the Service, as provided by us and used as permitted, infringes a United States patent, copyright, or trademark or misappropriates a trade secret, and will pay any resulting damages, settlements, and reasonable attorneys' fees. If such a claim is made or seems likely, we may modify the Service, obtain the right for the Customer to keep using it, or, if neither is reasonably possible, terminate the affected subscription and refund prepaid fees for the unused period. This Section does not apply to claims caused by Customer Data, combinations with things we did not provide, or modifications not made by us. This Section states our entire liability for infringement claims.
17.3 Process. The party seeking defense must notify the other promptly, give it sole control of the defense and settlement (but no settlement may impose obligations on the protected party without its consent, which will not be unreasonably withheld), and provide reasonable cooperation at the defending party's expense.
18.1 Service changes. We may change, add, or remove features from time to time. We will not make changes that materially reduce the core functionality of a paid subscription during the current billing period.
18.2 Changes to these Terms. We may update these Terms. If a change is material, we will notify the Customer by email or in the Service at least 30 days before it takes effect, unless the change is required by law or relates to new features, in which case it may take effect sooner. Continued use after the effective date means the Customer accepts the updated Terms. If the Customer does not agree, it may cancel before the change takes effect.
19.1 Governing law. These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
19.2 Informal resolution first. Before starting any formal proceeding, a party must send the other a written notice describing the dispute, and the parties will try in good faith to resolve it for at least 30 days.
19.3 Venue. Subject to Section 19.4, any lawsuit arising from these Terms or the Service must be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and each party consents to the jurisdiction of those courts. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
19.4 Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved under Section 19.2 will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Charlotte, North Carolina. Judgment on the award may be entered in any court with jurisdiction. Claims will be brought only on an individual basis, and not as a plaintiff or class member in any class, collective, or representative proceeding. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive relief in court as described in Section 19.3.
20.1 Entire agreement. These Terms (with the Privacy Policy and any order form) are the entire agreement between the parties about the Service and replace any earlier agreements on the same subject.
20.2 Assignment. Neither party may assign these Terms without the other's consent, except that either party may assign them without consent to a successor in a merger, acquisition, or sale of substantially all of its relevant assets, with notice.
20.3 Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control (other than payment obligations), such as natural disasters, power or internet outages, failures of third-party hosting providers, labor disputes, or government action.
20.4 Independent contractors. The parties are independent contractors. These Terms do not create a partnership, joint venture, or agency relationship.
20.5 Notices. We may send notices to the email address on the Customer's account or through the Service. Notices to us must be sent to support@getsitepunch.com, with a copy to Shreeji Hotel Group, LLC, Attn: Legal, 6025 Blakeney Park Dr., Suite 125, Charlotte, NC 28277.
20.6 Severability and waiver. If any provision is found unenforceable, it will be enforced to the maximum extent allowed and the rest of these Terms will remain in effect. Failing to enforce a provision is not a waiver.
20.7 Export and sanctions. The Customer will not use or allow use of the Service in violation of U.S. export control or sanctions laws.
20.8 Publicity. We will not use the Customer's name or logo to identify it as a customer without its prior written consent.
